Terms of Service

Agreement to Terms

By accessing or using the Saga PM service at app.sagapm.io and the website at sagapm.io (together, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you confirm that you are authorized to accept these Terms on that organization's behalf.

If you do not agree to these Terms, do not use the Service.

Description of Service

Saga PM is a cloud-based project management platform that provides cycle-based planning, goal tracking, and collaboration tools. We provide the Service on a subscription basis as described on our pricing page.

Accounts

You must create an account to use the Service. You are responsible for:

• Providing accurate and complete registration information
• Maintaining the security of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access

You must be at least 16 years old to create an account.

Free Trial

We offer a 14-day free trial with a pre-configured demo environment. The trial is for evaluation purposes only. Trial environments and their data are automatically deleted after the trial period expires. No credit card is required for the trial.

To continue using the Service after the trial, you must subscribe to a paid plan and create a new workspace.

Subscriptions and Payment

Billing

Paid plans are billed per user on either a monthly or annual basis. Annual plans are billed upfront for the full year. Prices are listed on our pricing page and may be updated with 30 days' notice.

Seat Counting

You are billed for the number of active users in your workspace. Adding users during a billing cycle results in a prorated charge. Removing users takes effect at the next billing cycle.

Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods, except where required by law.

Add-ons

Optional add-on features (such as AI-powered similarity search) may be available at additional cost. Add-on pricing and terms will be presented before activation.

Your Content

You retain all ownership rights to the content you create, upload, or store in the Service ("Your Content"), including goals, projects, records, comments, ideas, and attachments.

You grant us a limited license to host, store, and display Your Content solely to provide the Service to you. We will not access, use, or share Your Content for any other purpose, except:

• As necessary to provide technical support at your request
• To comply with applicable law or valid legal process
• To protect the security and integrity of the Service

We do not use Your Content to train machine learning models or for any purpose unrelated to providing the Service.

Data Isolation

Each organization's data is stored in a separate database schema. Your data is logically isolated from other customers and is not accessible to them.

Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the Service or its infrastructure
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to store or transmit malicious code
• Resell or sublicense the Service without our written consent
• Exceed reasonable usage patterns that negatively impact other users

We reserve the right to suspend or terminate accounts that violate these terms.

API Usage

The Service provides a GraphQL API with token-based authentication. API usage is subject to rate limits as described in our documentation. We reserve the right to throttle or suspend API access that negatively impacts Service performance.

Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. We will provide reasonable notice of planned maintenance when possible.

Enterprise customers may negotiate specific service level agreements (SLAs) as part of their contract.

Data Export and Portability

You may export Your Content at any time via the API. Upon cancellation, you will have 30 days to export your data before it is permanently deleted.

Intellectual Property

The Service, including its design, code, features, and documentation, is owned by Saga PM and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding.

Limitation of Liability

To the maximum extent permitted by law, Saga PM shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, revenue, or business opportunities, arising from your use of the Service.

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Indemnification

You agree to indemnify and hold harmless Saga PM from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice within the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

Termination

Either party may terminate these Terms at any time. You may terminate by canceling your subscription and ceasing use of the Service. We may terminate or suspend your access if you violate these Terms, with notice where practicable.

Upon termination, your right to use the Service ends. Sections that by their nature should survive termination (including ownership, liability, and indemnification) will survive.

Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation before pursuing formal legal remedies.
